Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and FinSpec AI (Pty) Ltd (“we”, “us”, “our”) governing your access to and use of the finspecai.com platform and related services (collectively, the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

FinSpec AI is a cloud-based financial analysis platform that enables users to upload trial balance data and receive automated financial analysis, including dashboards, financial statements, risk assessments, and AI-generated insights. The Service is intended for business use by finance professionals, business owners, and their authorised representatives.

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 18 years of age to use the Service
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorised use of your account

4.1 Plans

The Service is offered under subscription plans (Starter and Professional) with different feature sets and pricing. Current pricing is available on our website and within the application.

4.2 Free Trial

New users may receive a 14-day free trial with full Professional access. The trial is limited to one per user. After the trial period, you will be charged according to your selected plan unless you cancel before the trial ends.

4.3 Billing

Subscriptions are billed in South African Rands (ZAR) via Stripe on a monthly, quarterly, or biannual basis depending on the billing option selected. By subscribing, you authorise us to charge your payment method on a recurring basis. Upfront billing options (quarterly, biannual) are charged immediately at checkout at the applicable discounted rate. All fees are exclusive of VAT unless stated otherwise.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or the Stripe billing portal. Upon cancellation, you retain access until the end of your current billing period. No refunds are provided for partial billing periods.

You agree not to:

• Use the Service for any unlawful purpose
• Upload data you do not have the right to process
• Attempt to gain unauthorised access to the Service or other users’ data
• Reverse engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or use automated means to extract data or content from the Service
• Use the Service, its outputs, or any exposure to its methodology to build, improve, or inform a competing product or service
• Share your account credentials with third parties
• Circumvent any security features or access controls

6.1 Ownership

You retain all ownership rights to the financial data you upload to the Service. We do not claim ownership of your data.

6.2 Licence to Process

By uploading data, you grant us a limited, non-exclusive licence to process your data solely for the purpose of providing the Service to you. This includes sending data to third-party AI providers for analysis.

6.3 Data Accuracy

You are responsible for the accuracy and completeness of data you upload. The quality of our analysis depends on the quality of the input data.

The financial analysis, insights, risk assessments, commentary, and reports generated by our Service are produced using artificial intelligence and automated calculations. This content:

• Is not financial advice — it is informational only and should not be relied upon as the sole basis for financial decisions
• May contain errors — AI models can produce inaccurate or incomplete analysis
• Does not replace professional judgement — always consult a qualified accountant, auditor, or financial adviser before making significant financial decisions
• Is based on the data you provide — incomplete or inaccurate input data will produce unreliable results

The Service, including its design, code, algorithms, branding, and documentation, is the intellectual property of FinSpec AI (Pty) Ltd and is protected by copyright, trademark, and other intellectual property laws. “FINSPEC AI” is a registered trademark of FinSpec AI (Pty) Ltd. You may not copy, modify, distribute, or create derivative works based on the Service without our written consent.

To the maximum extent permitted by South African law:

• The Service is provided “as is” without warranties of any kind, express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability to you for any claims arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim

You agree to indemnify and hold harmless FinSpec AI (Pty) Ltd, its officers, directors, and employees from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third party’s rights.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your subscription.

We may suspend or terminate your account if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, after which it will be permanently deleted.

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of South Africa. The parties agree to first attempt to resolve disputes through good-faith negotiation before pursuing legal action.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Service after changes constitutes acceptance.
